I very much doubt you'll be able to upgrade to TP2 and then sell TP1.
Then you could do something like give TP1 to a mate, he could upgrade for $79, he could give it to a mate, who could upgrade for $79 etc etc etc.

Default TSP2 Hardware Upgrade Offer (details)

Okey dokey, just to clear something up.

If you upgrade to Traktor Scratch Pro 2 from TSP with the HARDWARE UPGRADE offer you cannot sell on the licence for TSP1. It is not a new licence, it is (as mentioned in a previous post) an Upgrade to a Qualifying Product so, that Q.P needs to be registered to you.

TSP 1 does not need to be installed after TSP2 is installed but it does have to be Registered.

You can sell the Hardware (Audio 8/4) obviously.

Just thought id let you guys know as it had ben discussed.

Just to clear something else up K-dawg, is there any chance that having both TSP and TSP2 installed on the same machine will compromise your ability to install on 2 machines?

I think i asked this once before and the answer was that it did not compromise the licence agreement.
One computer is regarded as one "Hardware Profile"

I think it would be a pretty petty rule if if did. Plus it would mean that you could not have a backup which i dont they can/should or even want to enforce.

    Thanks for clarification.

I didn't for a minute think that NI would intentionally implement that, but it struck me as the kind of thing that could accidentally happen because no one expected 2 versions of Traktor to exist simultaneously on the same machine at the time of writing the licensing program.
